A recent court decision has put a pause on Beneficial Ownership Information (BOI) reporting, leaving businesses across the country in a temporary state of uncertainty. Here’s what you need to know about this important development.
The U.S. Court of Appeals for the 5th Circuit has reversed an earlier decision and reinstated an injunction issued by a Texas district court. This injunction places a nationwide hold on the BOI reporting requirements outlined in the Corporate Transparency Act (CTA). The Financial Crimes Enforcement Network (FinCEN), the agency responsible for enforcing these requirements, is now restricted from penalizing businesses that fail to file BOI reports. However, businesses can still submit these reports voluntarily if they choose.
The legal back-and-forth stems from a lower court’s conclusion that the CTA is likely unconstitutional. Initially, the 5th Circuit had stayed the injunction, allowing FinCEN to proceed with enforcement. Now, the injunction has been reinstated to preserve the status quo while the appeals process continues.
Adding to the complexity, the Department of Justice (DOJ) has filed an emergency application with the U.S. Supreme Court.
